Terms &
conditions.
These terms set out the basis on which Amberswood provides web design, development, SEO and ongoing website support services.
About these terms
These terms apply to services supplied by Amberswood to a client. A project may also be governed by an accepted proposal, quotation, statement of work or other written agreement. If there is a conflict, the project-specific written agreement will take priority.
Quotes and scope
Prices shown on the Amberswood website are starting prices only. Final pricing depends on scope, complexity, content, integrations and timescale. Work outside an agreed scope may be quoted separately.
Client responsibilities
Clients are responsible for supplying accurate information, feedback, approvals, brand assets and content reasonably required to complete the work. Delays in receiving these materials may affect delivery dates.
Fees and payment
Payment schedules will be confirmed before work begins. Unless otherwise agreed, Amberswood may require an upfront deposit with the remaining balance due before launch or transfer of the completed website. Invoices should be paid by the due date shown on the invoice.
Revisions
Reasonable revisions included within a project will be described in the applicable proposal or scope. Significant changes in direction or additional rounds of work may be chargeable.
Third-party services
Projects may rely on third-party services such as hosting, domains, analytics, fonts, plugins, payment providers or other software. Their availability and terms are outside Amberswood's control, and clients may be responsible for associated third-party fees.
Intellectual property
Subject to full payment, the client will receive the rights in the final project deliverables described in the relevant proposal, excluding pre-existing Amberswood tools, reusable code, methods, know-how and third-party materials. Amberswood may display completed work in its portfolio unless otherwise agreed in writing.
SEO and performance
Amberswood may implement recognised SEO and performance practices but cannot guarantee search-engine rankings, traffic levels, sales, enquiries, uninterrupted availability or any particular commercial outcome.
Ongoing care plans
Care plans cover the services stated in the relevant package or agreement. Material redesigns, new pages, complex integrations and substantial new functionality are not included unless expressly agreed. Monthly plans may be cancelled in accordance with the notice period agreed with the client.
Liability
To the fullest extent permitted by law, Amberswood will not be liable for indirect or consequential loss, loss of profits, loss of opportunity or losses arising from third-party services. Nothing in these terms excludes liability that cannot lawfully be excluded.
Ending a project
Either party may end a project where the other commits a serious breach and does not remedy it within a reasonable period after written notice. Fees for work already completed and committed third-party costs remain payable.
Governing law
These terms are intended to be governed by the laws of England and Wales, with the courts of England and Wales having jurisdiction, subject to any mandatory legal rights that apply.
